Terms of Service
1. Introduction
Welcome to Verumate (“Verumate”, “we”, “our”, or “us”).
These Terms of Service (“Terms”) govern your access to and use of the Verumate website, applications, APIs, and related services (collectively, the “Services”).
By creating an account, accessing, or using the Services, you agree to be bound by these Terms. If you are using Verumate on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
If you do not agree to these Terms, you must not use the Services.
Please also review our Privacy Policy, Cookie Policy, and Data Retention & Deletion Policy, which describe how we collect, use, protect, and retain information.
2. Eligibility
You may use Verumate only if:
You are legally capable of entering into a binding agreement.
You are authorized to use any Connected Services you connect to Verumate.
You comply with all applicable laws and these Terms.
You are responsible for ensuring that your use of Verumate complies with any policies or agreements applicable to your Connected Services.
3. The Services
Verumate is an AI-powered Virtual Business Analyst that helps Customers understand business performance through evidence-backed analysis of Customer Data retrieved from authorized Connected Services.
The Services may include:
Secure Connector management
Business analytics
AI-assisted investigations
Reports and summaries
Recommendations
Dashboards
Data visualization
Natural language business queries
Features may vary depending on your subscription plan and the Connected Services you authorize.
We continuously improve the Services and may introduce, modify, or discontinue features from time to time.
4. Customer Accounts
To access certain features, you must create an account.
You are responsible for:
Maintaining the confidentiality of your account credentials.
All activities that occur under your account.
Keeping your account information accurate and current.
Promptly notifying Verumate of any unauthorized access or suspected security incident.
You are responsible for managing Authorized Users within your Workspace.
5. Connected Services
Verumate retrieves Customer Data only from Connected Services that you explicitly authorize.
Where available, Verumate uses secure authorization methods, including OAuth, to access Connected Services without requiring your passwords.
Unless explicitly stated otherwise for a specific feature, Verumate accesses Connected Services in a read-only manner and does not modify data, settings, campaigns, configurations, or content within those services.
You may disconnect a Connected Service at any time. After disconnection, Verumate will no longer retrieve new data from that service. Previously retrieved information will be handled in accordance with our Data Retention & Deletion Policy.
6. Subscription Plans
Verumate may offer free, trial, paid, or enterprise subscription plans.
Available features, usage limits, Connected Services, storage, and support levels may differ between plans.
We may modify subscription offerings from time to time. Material changes will not affect an active subscription period unless required by law or agreed with the Customer.
7. Billing and Payments
Paid subscriptions are billed according to the selected billing cycle.
By subscribing to a paid plan, you authorize Verumate or its payment processor to charge the applicable fees.
You are responsible for:
Providing accurate billing information.
Paying applicable taxes unless exempt.
Keeping payment information current.
Failure to pay applicable fees may result in suspension or termination of paid Services.
Unless required by applicable law, subscription fees are non-refundable.
8. Acceptable Use
You agree not to:
Use the Services for unlawful purposes.
Attempt to gain unauthorized access to Verumate or Connected Services.
Circumvent security controls or authentication mechanisms.
Reverse engineer, decompile, or attempt to extract the source code of the Services except where permitted by law.
Upload malicious software or harmful code.
Interfere with the availability or security of the Services.
Misrepresent your identity or authority.
Use the Services in a manner that violates the rights of others.
Use automated methods to abuse or overload the Services beyond documented limits.
We reserve the right to investigate suspected violations and take appropriate action, including suspension or termination of accounts.
9. AI-Assisted Analysis
Verumate combines deterministic analysis with artificial intelligence to generate business insights, explanations, investigations, and recommendations.
AI-generated outputs are intended to assist Customers in understanding available information. While Verumate strives to provide transparent and evidence-backed analyses, AI-generated responses may contain inaccuracies, omissions, or incomplete interpretations.
Customers remain responsible for evaluating AI-generated outputs before making business, financial, operational, legal, or strategic decisions.
Verumate is not a substitute for professional advice, including legal, accounting, tax, investment, or regulatory advice.
10. Customer Data
Customer Data remains the property of the Customer or its licensors.
You grant Verumate the limited rights necessary to host, process, retrieve, analyze, transmit, and display Customer Data solely for the purpose of providing the Services.
Verumate does not sell Customer Data.
Verumate does not use Customer Data or Google API Data to develop, improve, or train generalized artificial intelligence or machine learning models.

11. Intellectual Property
Verumate and its underlying software, technology, trademarks, logos, documentation, and content are owned by Verumate or its licensors and are protected by applicable intellectual property laws.
These Terms do not transfer ownership of Verumate’s intellectual property to you.
Subject to these Terms, Verumate grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services during your subscription.
12. Availability
We strive to provide reliable and secure Services but do not guarantee uninterrupted or error-free availability.
The Services may occasionally be unavailable due to:
Planned maintenance
Security updates
Infrastructure failures
Internet disruptions
Third-party service interruptions
Events beyond our reasonable control
We may perform maintenance to improve the Services.
13. Security
Verumate implements reasonable administrative, technical, and organizational safeguards designed to protect Customer Data.
Customers are responsible for maintaining the security of their own accounts, credentials, devices, and Connected Services.

14. Warranty Disclaimer
The Services are provided on an “as is” and “as available” basis to the maximum extent permitted by law.
To the extent permitted by applicable law, Verumate disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability.
We do not warrant that the Services will always be error-free, uninterrupted, or suitable for every business purpose.
15. Limitation of Liability
To the maximum extent permitted by applicable law, Verumate and its affiliates, officers, employees, and licensors shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or relating to the use of the Services.
Our aggregate liability for claims arising from the Services shall not exceed the amount paid by the Customer for the Services during the twelve (12) months immediately preceding the event giving rise to the claim, or one hundred U.S. dollars (US$100) if no fees have been paid, whichever is greater.
Nothing in these Terms excludes liability that cannot legally be excluded.
16. Suspension and Termination
You may stop using the Services at any time.
We may suspend or terminate access if:
You materially violate these Terms.
Your use poses a security risk.
Required by law.
Subscription fees remain unpaid after reasonable notice.
Fraudulent or abusive activity is detected.
Termination does not affect rights or obligations that accrued before termination.
17. Changes to the Services and Terms
We may update these Terms from time to time to reflect changes in our Services, legal requirements, or business practices.
Material changes will become effective after reasonable notice through the Services or other appropriate communication channels.
Your continued use of the Services after the effective date constitutes acceptance of the updated Terms.
18. Governing Law
These Terms are governed by the laws applicable to the legal entity operating Verumate, without regard to conflict of law principles.
Any disputes shall be subject to the exclusive jurisdiction of the competent courts where the operating entity is established, unless otherwise required by applicable law.
